Philippines / Regulatory notes / E-invoicing: which small online sellers are actually covered

Is a small online seller covered by e-invoicing

The test is your taxpayer band, not whether you sell online. Micro taxpayers below ₱3,000,000 fall outside the group that must issue electronic invoices by 31 December 2026.

The e-invoicing mandate is often described as a rule for online sellers. That description is wrong in one direction and risky in the other. Coverage is decided by taxpayer classification first, and by the sales channel second.

What the regulation actually says

RR No. 26-2025, issued on 5 September 2025, amended the transitory provisions of RR No. 11-2025 and set one date for the first group: 31 December 2026. That group is defined as taxpayers engaged in electronic commerce or internet transactions classified as Small, Medium and Large. The same sentence carries the carve-out in parentheses: micro taxpayers are exempted.

So the question for an online seller is not whether the sales run through a platform. It is which band the BIR is holding the taxpayer in.

Where the band lines sit

RR No. 8-2024 sets four bands on gross sales for the taxable year, net of VAT and with no other deductions:

An online seller with ₱2.4 million of gross sales is micro on that test and sits outside the e-commerce group. One at ₱3.6 million is small and inside it, whether the orders arrive through a platform, a website or a messenger thread.

The VAT catch

Classification does not always follow the arithmetic in the year you expect. RR No. 8-2024 provides that taxpayers registered in 2023 or 2024 before its effectivity are initially classified as micro, except VAT-registered taxpayers, who are classified as small. A seller who crossed ₱3,000,000 and registered for VAT is small from the start, and the micro exemption never reaches them.

Crossing the threshold mid-year produces the same result going forward: the business becomes VAT-registered, the band moves, and the invoicing obligation follows the band rather than the calendar page on which it was noticed.

The exemption does not travel to every group

The 31 December 2026 date is not attached only to e-commerce. The same provision lists taxpayers under the Large Taxpayers Service, large taxpayers under RA No. 11976 and RR No. 8-2024, and taxpayers using a Computerized Accounting System, Computerized Books of Accounts with electronic invoicing, or other invoicing software. Those groups are defined by jurisdiction, size and system, and the text does not repeat the micro carve-out inside them.

That matters for a seller who is micro on sales but runs a computerized accounting system, or who sells through a POS terminal. POS users and other taxpayers the Commissioner designates are caught once a system capable of transmitting to the BIR is established, through separate regulations. Treating the exemption as a blanket shelter for every micro business is the reading most likely to be corrected late.

What has to be in place before the first invoice

For a seller inside the mandate, the sequence is fixed. A Permit to Issue must be secured before any electronic invoice is generated, at the Revenue District Office or the Large Taxpayer office, and the BIR evaluates within 20 working days of a complete application. Each distinct system needs its own permit. EIS certification follows within six months of the permit, and missing it is a ground to revoke the permit.

The BIR has published no fee for the permit. A quotation that puts a number on it is inventing one. The cost is the system, the configuration and the time.

Before December, settle three points: the band the BIR has the business in, whether any system in use pulls it into a group with no carve-out, and the date its permit application becomes complete.
