General Information Sheet
The General Information Sheet is the SEC's annual snapshot of who owns and who runs the company. It is also the document the Bureau of Immigration asks for as proof of signing authority in a 9G file.
A corporation files its GIS within 30 days of the annual stockholders' meeting, and it must be stamped received by the SEC for the current year before it is used at another agency. A 9G file with a previous year's GIS is refused.
What the government charges
| Item | Amount |
|---|---|
| GIS filing No filing fee for the standard submission | ₱0 |
| Late filing SEC MC No. 6, s. 2024 sets the scale | penalty schedule |
The penalty for a late GIS is computed on the SEC scale by the number of days of delay and the entity's retained earnings. Ask for the assessment rather than estimating it.
Who needs this
- Every stock and non-stock corporation registered with the SEC, including one person corporations.
- Foreign corporations licensed to do business, which file their own version.
Who does not
- Sole proprietorships registered with DTI.
- Partnerships, which file a different return.
How it is done
- Hold the annual meetingThe 30 days run from the meeting date. A company that never holds the meeting still has to file, and the date becomes the issue.
- Complete the sheetStockholders, directors, officers, the beneficial owners and the external auditor, matching the stock and transfer book.
- Submit and get it stampedThe stamped copy is the version other agencies accept.
- Update on changeChanges in directors or officers during the year are notified separately, not saved for the next sheet.
Deadline and what happens if you miss it
30 days after the annual stockholders' meeting. Late filing is penalised under SEC Memorandum Circular No. 6, series of 2024, and the penalty scales with the delay.
Why files get refused at the counter
- A sheet that does not reconcile with the stock and transfer book.
- An auditor who has not signified consent.
- A previous year's stamped copy presented at the Bureau of Immigration.
